UK Takeover Code · Rule 8.3 disclosures
Track the Offeree’s register.
Filing by filing, minute by minute.
The best Rule 8.3 tracker there is: every offeree on the Takeover Panel disclosure table followed automatically, every Form 8.3 parsed from the start of the offer period, and every position reconciled against the dealings that moved it.
-
Every offeree, tracked automatically
The Panel disclosure table is the source of truth. A company appears on it and the tracker starts backfilling; when the offer period ends, its history stays.
-
Parsed from the first day of the offer period
Every Rule 8 filing on the RNS feed - positions, dealings, amendments, replacements and withdrawals - read into structured data, not scraped headlines.
-
Positions and dealings reconciled
Each holder's level of record is checked against its previous filing plus the dealings in between, so corrections, hedged books and sub-1% exits are visible rather than guessed.
-
One-click Excel, one daily email
A workbook with a tab per investor and every parsed field, plus a daily summary of the day's dealings in your inbox. The feed is polled every 60 seconds.
About Rule 8.3
What is Rule 8.3?
Rule 8.3 is the part of the UK Takeover Code that makes large shareholders say what they hold and what they trade while a company is in an offer period. Anyone interested in 1% or more of any class of relevant securities of the offeree company, or of a securities exchange offeror, has to publish an Opening Position Disclosure within 10 business days of the offer period starting, or of the announcement that first identifies a securities exchange offeror. After that, every dealing has to be disclosed by 3.30 pm London time on the business day following the deal. The form used for both is the Form 8.3.
Who has to file a Form 8.3?
Any person whose interests in relevant securities reach 1% of a class, counted together with anyone they are acting in concert with. In practice that means fund managers, hedge funds, banks and brokers dealing as principal, and the occasional individual. Exempt principal traders connected with an offeror or the offeree disclose under Rule 8.5 instead. A connected exempt fund manager at 1% or more still files a Form 8.3 and flags the connection on it; Rule 8.6 only covers its private disclosures to the Panel while it is below 1%. Holders under 1% are not required to disclose, so the public register is a floor rather than the whole share register, although a holder who was at 1% or more still has to disclose the dealing that takes them under.
What does the tracker do with a filing?
When a Form 8.3 appears on the RNS feed the tracker reads it into structured fields: who is disclosing, which offeree or offeror it relates to, the class of security, the position held and any dealings since the last filing. The new position is then checked against the previous filing plus the dealings in between, so an amendment or a hedged book shows up as a difference rather than a surprise. The result is a register for each offeree, on screen or as an Excel workbook, with a daily email summary of dealings. The feed is polled every 60 seconds.
